ALEMATEK – Terms & Conditions of Sale & Delivery

(In accordance with the Laws and E-Commerce Regulations of the Kingdom of Saudi Arabia)

The following Terms & Conditions are provided as a general commercial framework and do not constitute legal advice. For full legal compliance, review by a licensed legal advisor in the Kingdom of Saudi Arabia is recommended.

1. Scope & Applicability

These Terms & Conditions (“T&C”) apply to all quotations, sales, deliveries, and services provided by ALEMATEK (“the Company”).

The Client expressly waives the application of its own terms and conditions, even if issued at a later date, unless expressly agreed in writing by ALEMATEK.

Any deviation from these T&C shall be valid only if approved in writing in advance by ALEMATEK.

2. Prices & Currency

  • All prices are quoted in Saudi Riyals (SAR) unless otherwise stated.

  • Prices are exclusive of VAT, which shall be applied in accordance with ZATCA regulations.

  • Prices do not include delivery or logistics charges unless explicitly mentioned.

3. Payment Terms & Credit Policy

  • ALEMATEK operates on a no-credit basis by default.

  • Full payment must be made in advance before order confirmation, picking, or dispatch.

  • Credit terms of twenty-one (21) calendar days from the invoice date are available only to customers who are authenticated, verified, and expressly approved by ALEMATEK in writing.

ALEMATEK reserves the right to withdraw or revise credit approval at any time without prior notice.

4. Late Payment

In the event of late or non-payment:

  • ALEMATEK reserves the right to charge late payment compensation and/or statutory interest as permitted under applicable Saudi laws.

  • ALEMATEK may suspend dispatch, delivery, or any ongoing supply or services without prior notice until full payment is received.

5. Delivery & Logistics (3PL)

  • All deliveries shall be executed through a Third-Party Logistics (3PL) provider.

  • Delivery charges shall apply as per the applicable 3PL rate card and are payable by the customer at the time of delivery.

  • Delivery timelines are indicative and subject to 3PL operational performance.

ALEMATEK shall not be liable for delays, damages, or additional costs arising from 3PL operations.

6. Inspection, Claims & Acceptance

  • The Client must inspect goods immediately upon delivery.

  • Any claim relating to shortage, damage, or non-conformity must be notified in writing within eight (8) days of delivery.

  • Failure to notify within this period shall constitute full acceptance of the goods or services.

7. Limitation of Liability

  • ALEMATEK shall not be liable for indirect, incidental, or consequential damages, including loss of profit or business interruption.

  • ALEMATEK shall not be required to act as a third party in claims raised by end users against the Client.

  • Any liability shall be limited to the invoice value of the goods or services supplied.

8. Taxes & Withholding

  • VAT shall be applied as per Saudi tax regulations.

  • Any withholding tax or statutory deductions imposed by the Client’s jurisdiction shall be borne solely by the Client.

  • Invoices are payable to ALEMATEK in full, without deduction.

9. E-Commerce Compliance

For electronic or online transactions, ALEMATEK complies with the Saudi E-Commerce Law, including transparency of seller identity, pricing, electronic records, and transaction confirmations.

Electronic invoices, emails, and confirmations shall be deemed legally valid and binding.

10. Force Majeure

ALEMATEK shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, supply chain disruptions, or logistics constraints.

11. Governing Law & Jurisdiction

All contractual relations between ALEMATEK and the Client shall be governed exclusively by the laws and regulations of the Kingdom of Saudi Arabia.

The competent courts of Saudi Arabia shall have exclusive jurisdiction.
